 BYLAWS

MARSHFIELD AREA YOUTH FOOTBALL, INC.

Article I - Name

The name of the organization is and shall be MARSHFIELD AREA YOUTH FOOTBALL, INC (a/k/a MAYF) and its principle place of business shall be Marshfield, Wisconsin.

Article II – Non-Profit

Marshfield Area Youth Football is organized exclusively for educational and charitable purposes under the laws of the State of Wisconsin, including the making of distributions to organizations that qualify as exempt under sec. 501(c)(3) of the Internal Revenue Code or any corresponding future federal tax code.

Article III – Purpose

To familiarize young participants with the fundamentals of football and spirit leading.  To provide them with the opportunity to play in an organized and supervised environment and to teach them that academics and athletics should be joint, communal efforts.  The goal is to help build character and promote good sportsmanship, as well as to assure safety and intelligent supervision insofar as it is possible and to provide for the welfare of the participants.  All directors, officers and members shall bear in mind that the attainment of exceptional athletic skill or winning the games is secondary.

Article IV – Parliamentary Authority & Fiscal Year

Robert′s Rules of Order shall govern the proceedings of all meetings excepts as otherwise prescribed by these by-laws.  A majority shall constitute a quorum at any properly convened meeting of the Board of Directors or one of its committees.  The fiscal year of the corporation shall be Jan 1 to Dec 31 of the following year.

Article V – Membership

Section 1 – Participant Members (players) - Any person meeting the requirements of MAYF shall be eligible to participate but shall have no rights, duties or obligations in the management or in the property of MAYF.

Section 2 - Regular Members (parents) - Any person  whose child or ward is a registered player on the player roster of the MAYF or a cheerleader of the MAYF  shall be a member during that fiscal year.  Regular members shall have no rights, duties or obligations in the management or in the property of MAYF.

Section 3 - Leaders (Board of Directors, officers & coaches) - Leaders shall be members without personal registrations

Section 4 - Suspension or Termination - Any member may be expelled or disciplined for conduct unbecoming a member or for conduct considered detrimental to the best interests of MAYF, after notice and opportunity for a hearing, by a two-thirds vote of the MAYF Board of Directors.

The Board of Directors shall, in the case of a player or cheerleader, give notice to the parents involved and the head coach of the participant′s team.

Examples:

1 - At any MAYF event, practice or competition, any adult or player who: 1) verbally abuses; 2) attempts to intimidate; 3) is flagrantly rude, or 4) cannot control their language or actions with an official, coach or MAYF volunteer will be asked to leave the event.  He or she will receive a written warning regarding their behavior.  His or her child(ren) will also be immediately removed from the MAYF event.

2 - Anyone that commits a second similar offense may be banned from MAYF events for the remainder of that season pending a hearing and decision by the Board of Directors.

3 - Any adult who physically assaults an official, coach or MAYF volunteer will be banned from MAYF and their child(ren) also will be removed from the MAYF program for one year from the date of the offense.  After the completion of the season (year), the parent may apply for reinstatement of his or her child.  If the adult commits a second offense, he or she will be permanently banned from MAYF and the child(ren) also permanently banned from MAYF.  The term physical assault includes, but is not limited to: hitting, slapping, pushing, spitting, kicking or striking in any way with any part of the body or physical implement otherwise not associated with the game of football.

Article VI – Board of Directors

The affairs of MAYF shall be managed by the Board of Directors, which shall consist of between 8-12 members.  The Board will be constituted by the Commissioner, Co-Commissioner, Secretary, Treasurer and others as duly elected by the sitting Board Members.  The Board of Directors shall have full control and management of the property and programs of the organization.  The commissioner shall act as a non-voting member, except in the case of a tie.

Funds of the organization may be withdrawn from the bank or banks in which they are deposited by either the Co-Commissioner or Treasurer with the approval of the Board.  Responsibility for conducting the day-to-day affairs of MAYF shall be designated to the Commissioner subject to the advise and consent of the Board of Directors.

Those elected to the Board shall not serve more than two (2) consecutive four (4) year terms.  New Directors may be elected by the remaining Board to replace a Director whose terms have expired or have been vacated by resignation.  An interm Director may be appointed to fill a vacancy occurring between meetings.  New Directors may serve for a term of four (4) years.

Officers will be elected by the Board at the January board meeting and be finalized by Jan 31.

Article VII – Duties of Officers

The duties of the officers shall be such as their titles by general usage indicate, such as are required by law and by these by-laws, and such as may be assigned by them respectively from time to time by the Board of Directors.

The Commissioner, the chief executive of the organization, shall call and preside at all meetings of the Board of Directors and of the membership, shall appoint all committees and in general shall oversee and coordinate the affairs of the organization, subject in all activities to the advise and consent of the Board of Directors.  He or she shall make a brief annual report to the membership.

The Co-Commissioner shall assume the duties of the Commissioner in the absence of the latter, and shall work with the Commissioner on all internal affairs of the organization.

The Secretary shall issue notice of all regular and special meetings of the Board of Directors and shall prepare and maintain as a permanent record all minutes of such meetings.  He/She shall be custodian of all records of the organization and shall assist the president with official coorespondence.

The Treasurer shall be responsible for all financial records of the organization, shall maintain prudent custody of all funds of the association, shall withdraw and disburse the funds as authorized by the Board of Directors and shall report concerning the financial status of the organization as directed by the Board of Directors.  The Treasurer shall pay all appropriate taxes of the organization and make provision for an audit once annually the books of account, records and principle procedures of the organizations as prescribed by these by-laws and shall report to the Board of Directors concerning the status, adequacy and accuracy thereof.

Article VIII – Meetings

Board meetings shall be held monthly or when deemed necessary by the acting Board, but at no time more than three (3) months from the previous meeting.  Other/Special meetings may be held to suit the requirements of the organizations business and the convenience of the Directors.   Meetings of the Board may be called at the request of the Commissioner or by and two (2) Directors.

Article IX – Game Rules

The game rules will be listed as an exhibit and will be reviewed each year.  Changes to the rules will only require a majority vote of the Board of Directors.  Rules will be designed to accommodate participating communities with which MAYF will paly as opponents.  The best interest of participants and communities will be of utmost importance.

Article X – Academics

MAYF will promote strong academic standards for all participants.  Recognition within the programs will be for academic excellence only and not for individual athletic achievement or team won-loss records.

scholarship fund will be established to award annually a scholarship for a previous participant whom is graduating from high school in the current fiscal year.  The requirement and recipient of the scholarship shall be governed by the Board of Directors.

Article XI – Amendments

These by-laws may be amended at any Board of Directors meeting with a quorum present by a vote of two-thirds (2/3) of the Directors present.

Article XII – Use of Funds

The funds and assets of the organization shall be used solely for the purposes set forth in Article III of these by-laws.

Article XIII – Dissolution

In the event of dissolution the assets of the organization, except as provided otherwise by law, shall be distributed with the following priorities: first, to any successor non-profit organization sponsoring youth football in Marshfield; second, if there being no existing organization as described in the first priority, among non-profit organizations sponsoring youth recreational athletics of other types; third, if there being no existing organization as described in the second priority, to an deserving non-profit organizations sponsoring youth activities in Marshfield.
